Terms of Service

1. Acceptance of Terms

By accessing or using the website, digital agency services, or software applications published by Veltrion Technologies (“Veltrion”, “we”, “us”), including our Shopify applications (such as UpPay and RateJet), you agree to be bound by these Terms of Service.

If you do not agree with any part of these Terms, you must immediately discontinue use of our site, services, and applications.

2. Agency & Custom Development Services

Veltrion provides bespoke web design, Shopify theme development, custom full-stack web applications, and digital engineering services.

• Proposals & Agreements: Individual project engagements are governed by dedicated Statements of Work, Project Proposals, and Service Agreements specifying deliverables, timelines, milestones, and payment terms.
• Client Assets: You warrant that all content, logos, imagery, and intellectual property provided to Veltrion for development are owned by you or appropriately licensed.
• Deliverable Handoff: Full intellectual property rights in custom deliverables transfer to the client upon final settlement of project invoices according to the applicable agreement.

3. Shopify Applications (UpPay, RateJet)

A. Subscriptions & Billing

Our Shopify apps are distributed through the Shopify App Store and billed securely via Shopify's Billing API. Subscription fees (monthly or annual) appear directly on your regular Shopify invoice.

B. Free Plans & Trials

Where available, Free plans allow usage up to specified tier caps without requiring credit card entry. Free trials provide full feature access for the trial duration and convert to active paid subscriptions unless cancelled prior to expiration.

C. Cancellation & Uninstallation

You may cancel a subscription or downgrade at any time from within the app settings or by uninstalling the application from your Shopify Admin. You retain access to paid features until the conclusion of the current prepaid billing period.

D. Refunds

Charges are processed and governed by Shopify's Merchant Terms. We do not provide prorated refunds for partial billing cycles. If you believe a billing error has occurred, contact our support team at veltrion.dev@gmail.com within 14 days of the charge date.

4. Acceptable Use Policy

You agree not to use our websites, services, or apps to:

• Violate applicable local, national, or international laws and regulations.
• Infringe upon intellectual property, privacy, or proprietary rights of others.
• Distribute malicious code, viruses, or interfere with infrastructure availability and security.
• Attempt unauthorized reverse engineering or extraction of application source code.

5. Intellectual Property

Veltrion retains all rights, title, and interest in and to our proprietary technologies, application codebases, designs, trademarks, visual marks, and documentation. Nothing in these Terms grants you ownership of Veltrion software or platform infrastructure.

6. Disclaimer of Warranties & Limitation of Liability

Our websites, software, and applications are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Veltrion disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

In no event shall Veltrion Technologies be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or business interruption) arising out of your use of our services or applications.
